This license is granted solely for the number of licenses you have purchased or for which you have an active subscription.

5. Subscription and Payment

Audio Recorder is available through various subscription plans and one-time purchase options. Pricing, features, and license terms are described on our website at the time of purchase.

5.2 Payment Terms

  • Subscriptions are billed in advance on a recurring basis (monthly or annually) depending on the plan you select
  • One-time purchases grant you a perpetual license subject to these Terms
  • All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy
  • You are responsible for providing accurate and complete billing information
  • We reserve the right to change our pricing with 30 days' advance notice to existing subscribers

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel anytime through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.

5.4 Taxes

All fees are exclusive of applicable taxes, duties, or similar governmental assessments, including value-added tax, sales tax, use tax, and withholding tax. You are responsible for paying all such taxes associated with your purchase.

5.5 Refund Policy

We offer a 30-day money-back guarantee for first-time purchases. If you are not satisfied with the Software within 30 days of purchase, you may request a full refund by contacting our support team. Refunds are not available for subscription renewals.

6. User Accounts

You must create an account to purchase and use the Software. You agree to:

You retain all ownership rights to audio recordings and other content you create using the Software ("Your Content"). By using the Software, you grant us no rights to Your Content except as necessary to provide the Software services to you.

You represent and warrant that you have all necessary rights to Your Content and that Your Content does not infringe or violate any third-party rights.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Software ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.

8. Privacy and Data Protection

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SOFTWARE
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

WE DO NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ABREEZESOFT, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • LOSS OF BUSINESS OPPORTUNITIES
  • DAMAGE TO REPUTATION
  • COST OF SUBSTITUTE PRODUCTS OR SERVICES

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY CASE, OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless aBreezeSoft, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit, post, or transmit through the Software
  • Any fraudulent or illegal activity

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. Termination

You may terminate your account and stop using the Software at any time by:

  • Provisions that by their nature should survive termination will remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

16. Export Control

The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where aBreezeSoft is registered, without regard to its conflict of law principles.

18. Dispute Resolution

Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration, except where prohibited by law. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

The invalid, illegal, or unenforceable provision will be modified to the extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, it will be severed from these Terms.

23. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Software or website, constitute the entire agreement between you and aBreezeSoft regarding the Software and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Software.

24. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

25. Notices

All notices to you will be sent to the email address associated with your account or displayed within the Software. You agree that electronic notices satisfy any legal requirement that such communications be in writing.

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or discrepancy.
